1. Overview of Propbox

Propbox is a software-as-a-service (SaaS) platform that provides tools to help users sell their homes without a real estate agent. We offer market data, pricing tools, and AI-driven guidance based on industry best practices. We are NOT real estate agents, brokers, or attorneys. Our platform does not provide legal, financial, or professional real estate advice.

2. User Responsibilities

By using Propbox, you acknowledge that you are fully responsible for all aspects of your home sale. This includes, but is not limited to:

• Pricing Decisions: Our platform provides data, but pricing is your decision.
• Negotiations & Offers: Any agreements, counteroffers, or price adjustments are your responsibility.
• Disclosures & Contracts: You are responsible for ensuring all legal documents are correct, complete, and compliant with local laws.
• Legal & Financial Outcomes: Any fees, taxes, penalties, or legal disputes resulting from your home sale are your responsibility.
• Regulatory Compliance: It is up to you to ensure you are following all relevant laws and regulations.
• Fraud Prevention: By using Propbox, you certify that you are the legal owner of any property you list and have full authority to sell it. Attempting to list or sell a property without authorization is strictly prohibited and may result in termination of your account and legal action.

We strongly recommend consulting a licensed professional for legal or financial matters.

3. AI Accuracy Disclaimer

Our AI is designed to provide general guidance based on market data and real estate industry knowledge. However:

• AI-generated insights may not always be accurate, complete, or up-to-date.
• Propbox does not guarantee successful home sales or specific financial outcomes.
• Users should independently verify any information provided by the AI.
• Propbox is not liable for any errors, omissions, or decisions made based on AI-generated recommendations.

4. Freemium Model & Paid Upgrades

• Users can access certain tools for free.
• A paid membership grants access to tools for a single property listing. Each additional listing requires a separate purchase.

5. No Refund Policy & Money-Back Guarantee

All purchases on Propbox are final, and we do not offer refunds.

However, we offer a Money-Back Guarantee on our premium package, subject to the following conditions:

• The user must provide documented proof that they signed a listing agreement with a licensed real estate agent after purchasing Propbox and successfully sold their home with that agent.
• The refund will be processed after deducting the cost of any third-party products and services received, including but not limited to:
  • MLS listing fees
  • Professional photography
  • Lockbox services
  • Yard signs
• Users must submit refund requests within 14 days of their property sale.

6. Account Termination

Propbox reserves the right to suspend or terminate accounts for:

• Abuse or fraud (e.g., scraping, attempting to circumvent paid features).
• Violation of these Terms.
• Listing a property you do not own or have the legal right to sell.
• Any activity that disrupts the platform or its intended use.

7. Data Collection & Privacy

We collect and store user data to improve our platform. See our Privacy Policy for full details on how we handle your data.

8. Intellectual Property Rights

• All software, AI-generated insights, content, and branding on Propbox are owned by Propbox.
• Users may not copy, resell, reverse-engineer, or modify any part of the Propbox platform.
• Any content uploaded by users (e.g., home descriptions, photos) remains their property, but Propbox reserves the right to use anonymized data for platform improvements.

9. Third-Party Services & External Links

• Propbox integrates with third-party tools and services (e.g., CoreLogic’s data, payment processors). We do not control or guarantee their accuracy, reliability, or performance.
• External links provided within Propbox are not endorsements, and we are not responsible for content on third-party websites.

10. Dispute Resolution & Governing Law

• All disputes arising from these Terms shall be resolved exclusively through binding arbitration under the laws of the State of Delaware.
• Arbitration shall be conducted by a single arbitrator under the rules of the American Arbitration Association (AAA).
• Users waive the right to participate in class-action lawsuits against Propbox.
• The arbitration ruling shall be final and binding on both parties, with limited rights to appeal.

11. Force Majeure Clause

Propbox is not liable for service disruptions, data loss, or failures caused by:

• Natural disasters
• Government regulations or legal changes
• Cyberattacks, server failures, or third-party outages
• Any other events beyond our control

12. Age Restrictions & Legal Compliance

• Users must be at least 18 years old to use Propbox.
• Users are solely responsible for ensuring their use of Propbox complies with all local real estate laws.

13. Changes to These Terms

We may update these Terms from time to time. Continued use of Propbox after changes means you accept the updated terms.
